These Terms & Conditions of Use ("Terms") govern your access to and use of nepaliteatraders.com (the "Site") and any purchases you make from Nepali Tea Traders, LLC ("Nepali Tea Traders," "we," "us," or "our"). By accessing, browsing, or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

We are an online-only store based in Saugus, Massachusetts, USA. If you access the Site from outside the U.S., you are responsible for compliance with your local laws and regulations.

1) Eligibility & Account

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site or make purchases. By creating an account or placing an order, you represent that you meet this requirement.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to update it as needed. Notify us immediately if you suspect unauthorized access to your account.

2) Privacy

Please review our Privacy Policy to understand how we collect, use, and protect your information. The Privacy Policy is incorporated into and forms part of these Terms.

3) Orders, Payment & Fulfillment

We may refuse, limit, or cancel any order at our sole discretion, including for suspected fraud, payment issues, pricing errors, inventory limitations, or violations of these Terms.

  • Pricing & availability: Prices, promotions, and product availability are subject to change without notice. We are not obligated to honor pricing errors.
  • Taxes & shipping: Applicable taxes and shipping costs are calculated at checkout based on your shipping address.
  • Risk of loss & title: Title and risk of loss transfer to you when we deliver items to the shipping carrier.

4) Product Information

We strive for accuracy in our product descriptions, images, and pricing. However:

  • Product images are representative — actual appearance may vary (tea leaves naturally vary by harvest, season, and lot).
  • Descriptions and specifications may contain errors or change over time.
  • Colors may appear differently depending on your device screen.

If a product you receive is materially not as described, your sole remedy is to return it in unused condition under our Returns & Refunds Policy.

5) Promotions, Gift Cards & Store Credit

  • Promotions are subject to specific terms and may be modified or ended at any time without notice.
  • Promotions cannot be applied retroactively to past orders.
  • Only one promotional code may be used per order unless otherwise stated.
  • Gift cards and store credit are not redeemable for cash unless required by applicable law.
  • Gift cards and store credit do not expire unless stated otherwise.

6) Intellectual Property & Limited License

All content on the Site — including text, images, photography, logos, graphics, product descriptions, blog posts, designs, and code — is owned by Nepali Tea Traders or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and make personal, non-commercial use of the Site. This license does not include any right to:

  • Download, reproduce, modify, publish, or distribute the Site or its content (other than standard browser caching for personal use)
  • Use data mining, robots, scrapers, or similar automated data-gathering tools without our written permission
  • Resell our products or commercially exploit any portion of the Site or its content
  • Frame or use framing techniques, deep links, or meta tags using our trademarks or trade dress
  • Use our content to train AI models or machine learning systems without express written permission

Any unauthorized use immediately terminates this license. Nepali Tea Traders, the Nepali Tea Traders logo, and related brand marks are trademarks of Nepali Tea Traders, LLC.

7) User Content (Reviews, Comments, Photos)

If you submit reviews, photos, comments, or other content to the Site or our social channels ("User Content"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, publish, translate, create derivative works from, distribute, and display such User Content in any media, now known or later developed, for any purpose related to our business (including marketing).

You represent and warrant that:

  • You own or control all rights to your User Content
  • Your User Content does not violate any third-party rights (including copyright, trademark, privacy, or publicity rights)
  • Your User Content does not contain unlawful, defamatory, obscene, threatening, or harassing material
  • Your User Content is truthful and reflects your honest opinion

We reserve the right to remove, edit, or refuse to publish any User Content at our sole discretion.

8) Prohibited Uses

You agree not to:

  • Violate any applicable law or regulation, or the rights of others
  • Post unlawful, defamatory, obscene, harassing, or infringing content; or send spam
  • Access or attempt to access areas of the Site that are not authorized for your use
  • Interfere with the Site's operation (uploading malware, overloading servers, scraping content)
  • Impersonate another person or misrepresent your affiliation with any person or organization
  • Use the Site for commercial purposes not expressly permitted by us
  • Attempt to reverse-engineer, decompile, or extract source code from the Site
  • Bypass any access controls, rate limits, or security measures

9) Wholesale & B2B Orders

Wholesale and bulk B2B orders are governed by these Terms together with any separate wholesale agreement, account terms, or quote we provide. In case of conflict, the wholesale agreement controls for wholesale-specific matters. For wholesale inquiries, see our Wholesale Program page.

10) Third-Party Services & Links

The Site may link to third-party websites or use third-party services (including payment processors, analytics tools, email marketing platforms, and shipping carriers). We are not responsible for the content, policies, or practices of any third-party site or service, and including a link does not imply our endorsement.

11) Force Majeure

We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including: acts of nature, war, terrorism, civil unrest, government action, labor disputes, supply chain disruptions, pandemic, fire, flood, earthquake, internet or telecommunications failure, or carrier delays. If such an event affects your order, we will make reasonable efforts to notify you and arrange alternative fulfillment, replacement, or refund.

12) DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. PRODUCT DESCRIPTIONS AND IMAGES ARE PROVIDED FOR INFORMATIONAL PURPOSES AND MAY VARY FROM THE ACTUAL PRODUCT RECEIVED.

13) LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEPALI TEA TRADERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR ANY PRODUCTS PURCHASED WILL NOT EXCEED THE GREATER OF:

  • (A) $100 USD; OR
  • (B) THE TOTAL AMOUNT YOU PAID TO US FOR PRODUCTS IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM

Some jurisdictions do not allow the exclusion or limitation of certain damages; these limits apply only to the extent permitted by applicable law.

14) Indemnification

You agree to defend, indemnify, and hold harmless Nepali Tea Traders and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms or any applicable law
  • Your misuse of the Site or our products
  • Your User Content or any infringement of third-party rights by your content
  • Your negligent or intentional misconduct

15) Governing Law & Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles and excluding the U.N. Convention on Contracts for the International Sale of Goods.

Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Boston, Massachusetts, and you consent to personal jurisdiction in those courts.

16) Class Action Waiver

To the maximum extent permitted by law, you and Nepali Tea Traders agree that any dispute will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or other representative proceeding against Nepali Tea Traders. If a court determines this class action waiver is unenforceable in your case, the limitation of liability in Section 13 still applies.

17) Changes to the Terms

We may update these Terms from time to time to reflect changes in our business, the law, or for other operational reasons. If we make material changes, we will post the updated Terms on this page and update the effective date at the top.

Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

18) Miscellaneous

  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: You may not assign these Terms or your account without our written consent. We may assign these Terms as part of a merger, acquisition, sale of assets, or by operation of law.
  • Entire agreement: These Terms, together with our Privacy Policy, Shipping Policy, Returns & Refunds Policy, and any wholesale agreement (where applicable), constitute the entire agreement between you and Nepali Tea Traders regarding the Site and supersede any prior agreements.
  • Headings: Section headings are for convenience only and do not affect interpretation.
